1. About Titan Grid
These Terms of Service govern the provision of services by Titan Grid Pty Ltd (ABN 32 698 417 668, ACN 698 417 668), an Australian private company based in Victoria ("Titan Grid", "we", "us", "our"), to any client that engages us ("you", "the client"). By engaging Titan Grid for a survey, assessment, or project, you agree to these terms together with the specific scope and pricing set out in our written quote or proposal.
2. Services
Titan Grid provides WiFi site surveys (predictive and on-site), network engineering, cybersecurity assessments, managed IT services, and related cloud and infrastructure services. The specific scope of work for any engagement will be set out in a written quote, proposal, or statement of work agreed with you before work begins.
3. Quotes and Pricing
We provide fixed-price quotes based on site size, complexity, and survey or project type, with no hidden fees. Quotes are valid for the period stated on the quote itself. Any variation to the agreed scope of work may result in a revised quote, which we will confirm with you in writing before proceeding.
4. Payment Terms
Invoicing and payment terms (including any deposit, milestone, or on-completion arrangement) will be set out in your quote or service agreement. Amounts are in Australian dollars unless otherwise stated. Overdue accounts may attract interest or suspension of services as permitted by law and as set out in your agreement.
5. Client Responsibilities
You agree to provide accurate information about your site and requirements, arrange reasonable site access for surveys or installation work, and inform us of any known hazards or access restrictions in advance. Delays caused by inaccurate information or restricted access may affect project timelines.
6. Intellectual Property
Survey reports, heat maps, designs, and other deliverables we produce for you are licensed to you for your internal business use upon full payment. Titan Grid retains ownership of its underlying methodologies, templates, and pre-existing intellectual property used to produce those deliverables.
7. Confidentiality
Each party agrees to keep confidential any non-public information received from the other in connection with an engagement, and to use it only for the purposes of that engagement.
8. Warranties and Liability
We will perform our services with due care and skill. Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded. To the extent permitted by law, our liability for any claim arising from our services is limited to the amount paid for the relevant services, and we are not liable for indirect or consequential loss.
9. Cancellation
Either party may cancel or reschedule a booked survey or project by providing reasonable written notice. Cancellation terms, including any fees for late cancellation of a scheduled site visit, will be set out in your quote or service agreement.
10. Governing Law
These terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria.
